Notification of Transactions of Directors, Persons Discharging Managerial Responsibility and Connected Persons

On 28 September 2016, HSS Hire Group plc (the "Company") granted an award to Paul Quested in the form of a nil-cost option over 263,376 ordinary shares in the Company in accordance with the Company's 2015 Long Term Incentive Plan (the "Plan").

Subject to the rules of the Plan, the award will vest subject to performance conditions based on Earnings Per Share and Return on Capital Employed measured over the three year period ending with the Company's 2018 financial year. To the extent it vests, the award will, ordinarily, be released at the end of a further two year holding period.

Paul Quested was also granted an award under the Plan in the form of a tax qualifying option over 38,961 ordinary shares at an exercise price of £0.77 per share. The tax-qualifying option is subject to the same performance conditions as apply to the nil-cost option and will vest and be released at the same time as the nil-cost option. If a tax qualifying option is exercised at a gain, the nil-cost option will be reduced by the same value to ensure that the combined pre-tax value delivered is not increased by the grant of the tax qualifying option.
