VOTING RIGHTS AND CAPITAL

As at 1 December 2016, Hogg Robinson Group plc's capital consisted of 325,484,275 ordinary shares, all of which carry one vote per share. No ordinary shares are held in Treasury, and the total number of voting rights in the Company is accordingly 325,484,275.

The above figure should be used by shareholders and others with notification obligations as the denominator for calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
