As at 31 January 2019, the Company's issued share capital comprised 8,000,858 Ordinary Shares of 25p each, of which 7,901,188 shares had voting rights and 99,670 shares were held in Treasury without voting rights.

The total number of voting rights in the Company is 7,901,188 (one vote for every one share held).

The above figure (7,901,188) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Opportunities Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
