HMV Group PLC24 April 2006 24 April 2006 HMV Group plc ("HMV Group" or the "Group") Statement re: Proposed Offer The Board of HMV notes the announcement by Tim Waterstone of his interest inWaterstones, which was first made known to the Board in February 2006. The Board will always give proper consideration to any proposal that mightenhance value for shareholders. However, the Board has yet to receive a formalproposal for the acquisition of Waterstones upon which any discussion could takeplace. On 30 March 2006, the Competition Commission gave provisional clearance for apotential combination between Waterstones and Ottakar's which the Boardcontinues to believe provides a potentially value enhancing opportunity forshareholders. The Board is awaiting the formal Competition Commission decisionafter which it will consider its position.
