Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 11 March 2011 that Mr J F Lennox, a person discharging managerial responsibilities of Hill & Smith, has purchased 2,500 ordinary shares in the Company at 300.97 pence per share. This transaction was effected on 10 March 2011 on the London Stock Exchange.

Following this purchase, Mr J F Lennox, is beneficially interested in 5,000 ordinary shares in the Company.
