Yell Group plc14 March 2007 Yell Group plc (the "Company") Share Sale by Trustee to Satisfy Vesting of Conditional Award of Shares Date of Transaction: 12 March 2007 Date Company Informed: 14 March 2007 On 12 March 2007, Halifax EES Trustees International Limited as Trustee of theYell Employee Benefit Trust (the "Yell Trust") sold in the market, at an averageprice of £5.8275 per share, a total of 1,070,137 Ordinary Shares of 1p each (the"Shares") in the Company, and transferred 453,494 Shares to certain employeebeneficiaries of the Yell Trust. The Shares sold or transferred were held by the Yell Trust and have been sold ortransferred pursuant to requests from participants in the Company's CapitalAccumulation Plan (the "Plan"), following the vesting of a conditional award ofShares made under the Plan. Neither of the executive directors named below isentitled to receive any of the Shares or be granted any benefit under the Plan. The Yell Trust is a discretionary trust and all employees (including executivedirectors) of the Company are included in the class of potential beneficiaries.Therefore John Condron and John Davis, as executive directors of the Company,are deemed to be interested in the Shares, whilst they are held in the YellTrust. Following the distribution by the Trustee of a total of 1,523,631Shares, they are deemed to be interested in 5,640,578 Shares held in the YellTrust.
