Dividend rate

Henderson Group plc wishes to confirm that shareholders on the register at 5.00pm today, the Record Date, will be entitled to a final dividend in respect of the financial year ended 31 December 2009 of 4.25 pence per ordinary share.

For holders of CHESS Depositary Interests (CDIs), the A$ or the NZ$ equivalent will be 7.089213 cents* (Australia) and 8.956204 cents* (New Zealand) per CDI respectively.

The dividend will be paid on 28 May 2010, subject to approval by shareholders at the Annual General Meeting to be held on 11 May 2010.

The timetable is as follows:

Processing recommences for requests by CDI holders to

convert CDIs into ordinary shares and by ordinary

shareholders to convert ordinary shares into CDIs Mon 10 May

Dividend payment date Fri 28 May
