Scrip Dividend Elections - Final Dividend

Pursuant to the approval by shareholders at the Annual General Meeting of the Company held on 7 September 2010 of the scrip dividend scheme, elections have been made by shareholders in respect of 1,568,090 ordinary shares of 25p each in the Company ("Shares") in lieu of cash in respect of all of part of their final dividend for the year ended 31 March 2010 ("Final Dividend") payable on 8 October 2010.

Application is therefore being made for the admission ("Admission") of 1,568,090 Shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities. The new Shares will rank pari pasu with the Company's existing issued Shares and dealings are expected to commence on 8 October 2010.

Upon Admission the total number of Shares in issue, and therefore the total number of voting shares, is 279,296,023 Shares. There are no shares held in Treasury. The above figure may be used by shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
