Hampson Industries PLC14 September 2006 Director/PDMR Shareholding Hampson Industries PLC ("the Company") announces that it has made awards underits Long Term Incentive Plan to two directors of the Company, Kim Ward andHoward Kimberley over 175,000 ordinary shares and 155,000 ordinary sharesrespectively. The shares comprised in these awards will only vest if theEarnings per Share before exceptional items and amortisation of intangibleassets on acquisition ("EPS") for the financial year ending on 31 March 2009 isat least 12.35p. In that event, 33% of the shares will become available. Thispercentage will increase up to a maximum of 100% on a straight line basis forEPS between 12.35p and 18.23p.
