Any person who is not a relevant person should not act or rely on this document or any of its contents. 20/07/07 PRESS RELEASE Guaranty Trust Bank announces offer price of $11.2 per GDR Guaranty Trust Bank plc ('GTBank'), a Nigerian-based full service bank, today announced the pricing for its offering of global depositary receipts ('GDRs') listed on the London Stock Exchange. The price per GDR has been set at $11.20. Summary of offer • Offer price set at $11.20 per GDR resulting in a market capitalisation for GTBank of approximately $2,990 million • Offer raises gross proceeds of approximately $750 million, excluding the over-allotment option • Offer comprises a total of 67 million newly issued GDRs excluding the over-allotment option, with 1 GDR representing 50 ordinary shares • GDRs will be listed on the London Stock Exchange under the symbol GRTB • Conditional dealing expected to commence on the International Order Book of the London Stock Exchange at 9 a.m. on 23 July 2007 • GDR Investors will own approximately 21 per cent. of the enlarged issued share capital of the Bank, before allowing for shares sold pursuant to the over-allotment option GTBank has granted to JPMorgan and Morgan Stanley, as Joint Bookrunners, the right to purchase additional GDRs representing up to 15 per cent. of the total offer at the offer price to cover over-allotments, if any. GTBank plans to use the net proceeds of the offering to fund expansion and refurbishment of its branch network; strategic business development including ATM rollout, enhancing call centres and other electronic banking service channels; increasing its equity investment in existing subsidiaries, including its banking subsidiaries in West Africa and Guaranty Trust Assurance Plc, GTBank's insurance subsidiary; further regional expansion into West Africa; increasing its working capital; and expansion and upgrading of its IT infrastructure, including hardware, data warehousing, and other customer relationship management applications. The over-allotment option is exercisable in whole, upon notice by JPMorgan and Morgan Stanley at any time on or before the 30th calendar day after the announcement of the price of GDRs in the offering. Any GDRs made available pursuant to the over-allotment option will be issued on the same terms and conditions as the GDRs being issued in the offering and will form a single class for all purposes with the other GDRs.
