Gravity Diamonds Limited Proxy Summary Share Scheme Meeting 26 April 2007 1 'That pursuant to and in accordance with the provisions of section 411 of the Corporations Act, the members are in favour of the arrangement proposed between GDL and the holders of its fully paid ordinary shares apart from Mwana Africa plc, designated the 'Share Scheme', as contained in and more particularly described in the Explanatory Booklet accompanying the notice convening this meeting, (with or without modification or condition as required by the Court to which the board of directors of both GDL and Mwana Africa plc agree) and subject to the approval of the Share Scheme by the Court, the board of directors of GDL is authorised to implement the Share Scheme with any such modification or conditions.'
