GROUND RENTS INCOME FUND PLC (THE "COMPANY")

Capital Reduction

Ground Rents Income Fund plc, the CISX listed real estate investment trust, is pleased to announce that the reduction in the Company's share premium account (the "Capital Reduction") originally proposed to be made in the Company's listing particulars dated 24 July 2012, and approved by the Company's shareholders and warrantholders on 16 November 2012 (subject to final approval of the High Court of Justice in England and Wales and registration of that approval by the Registrar of Companies in England and Wales) (the "Registrar") has been registered by the Registrar on 18 December 2012, and has accordingly taken effect.

The Capital Reduction has given rise to a reserve of £4,500,000 which has been credited to the profit and loss account of the Company, enabling the Company to now pay dividends to its shareholders.
