Grant of a conditional share award under the Gocompare.com Group plc 2016 Performance Share Plan (the "PSP")

On 15 November 2016, the Company granted conditional share awards under the PSP over the number of ordinary shares in the Company of £0.0002 set out below to the following executive directors of the Company:

Matthew Crummack (CEO) - 4,285,714 shares

Nick Wrighton (CFO) - 1,428,571 shares

These awards constitute the Foundation Awards referred to on page 130 of the Company's prospectus in relation to the Company's admission to trading on the London Stock Exchange
