Gresham Computing plc (the "Company") has received notification from Kestrel Opportunities, a cell of Guernsey Portfolios PCC Limited ("Kestrel Opportunities") that on 29 September 2011 it acquired 100,000 ordinary shares in the Company at a price of 54 pence per share, and on 30 September 2011 it acquired 50,000 ordinary shares in the Company at a price of 52.75 pence per share.

Kestrel Partners LLP, which Max Royde (Non-executive Director of the Company) is a partner of and holds a beneficial interest in, is the investment manager to Kestrel Opportunities. Mr Royde is also a shareholder in Kestrel Opportunities.

Following these transactions, Kestrel Opportunities holds 3,992,854 ordinary shares in the Company, which represents approximately 6.9 per cent of the Company's issued share capital.
