Fairpoint Group PLC ('Fairpoint' or 'the Company')

Additional Listing and Total Voting Rights

Application has been made to AIM for admission of 738,768 ordinary shares of 1p ("new Ordinary Shares") each in the Company to trading. The new Ordinary Shares have been allotted pursuant to the subscription of shares by the Fairpoint Group plc Employee Benefit Trust. The new Ordinary Shares will rank will rank pari passu in all respects with the existing shares in issue. 

Admission is expected to become effective on 21 January 2009. 

For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, the total number of Fairpoint ordinary shares of 1p each in issue on the date of admission will be 43,609,346 with each share holding one voting right. 

The above figure may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
