Shareholder Loan
China Growth Opportunities Limited("China Growth" or the "Company")
China Growth announces that on 30 June 2014 it entered into a £150,000 loan agreement (the "Loan") with Scarborough Holding Company Limited to assist with the funding of the Company's working capital requirements.
The Loan is unsecured and will accrue interest at a rate of 4% per annum, to be rolled-up and payable on settlement of the Loan. The Loan is repayable on 31 December 2015 or earlier at the Company's request, without penalty.
Scarborough Holding Company Limited has a beneficial interest of 28.57 per cent. of the current issued share capital of the Company, and is consequently a related party of China Growth. The Company's independent director, Nicholas Brooke, having consulted with the Company's Nominated Adviser, considers that the terms of the Loan are fair and reasonable in so far as its shareholders are concerned.
