Federal Grid Board of Directors Decisions
Moscow, 29 November 2013- Federal Grid Company of Unified Energy System ("Federal Grid Company" or "the Company") (Moscow Exchange, LSE: FEES), part of the Russian Grids Groupof companies and operator of Russia's unified electricity transmission grid system, announces that The Board of Directors on 28 November 2013 appointed members to the Audit Committee and the HR and Remuneration Committee, and approved changes to the makeup of the Management Board.
The following people were appointed to the Audit Committee:
· Denis Fedorov, Member of the Board of Directors of Federal Grid Company, CEO of Gazprom Energoholding and CEO of Tsentrenergoholding;
· Boris Kovalchuk, Member of the Board of Directors of Federal Grid Company, Chairman of the Management Board of INTER RAO UES;
· Sergey Serebryannikov, Member of the Board of Directors of Federal Grid Company, Dean of the federal state-financed educational institution of higher education "National Research University MPEI"
Denis Federov was elected Chairman of the Audit Committee.
The following people were elected to the HR and Remuneration Committee:

The Board of Directors approved the dismissal of the following Management Board members:
· Roman Berdnikov;
· Nikolay Varlamov;
· Yury Mangarov;
· Sergey Sergeev.
The Board of Directors also approved the appointment of the following Management Board members:
· Valery Goncharov, First Deputy Chairman of the Management Board;
· Maria Tikhonova, Deputy Chairman of the Management Board;
· Dmitry Shishkin, Director of Internal Control;
· Leonid Mazo, Deputy Chairman of the Management Board, CEO of TsIUS UES.

Federal Grid Company is part of OJSC Russian Grids is the operator and manager of Russia's unified electricity transmission grid system. The company operates over 131,000 km of transmission lines and has over 334.8 GVA of installed transformer capacity.
