Publication of Circular and Notice of EGM

FBD Holdings plc ("FBD" or the "Company") announces that a circular ("Circular") incorporating a Notice of an Extraordinary General Meeting ("EGM") will be posted to Shareholders on 16 August 2016.

Purpose of the EGM

The Irish Stock Exchange's Listing Rule 6.9 (1) provides that "A listed company must ensure that at all times not more than one third of its board of directors is composed of persons who have been co-opted to the board."

Up until the announcement of the conditional appointments of Ms. Mary Brennan and Ms. Orlagh Hunt to the Board on 3 August 2016 and 12 August 2016 respectively, the Group could demonstrate compliance with this provision. Their addition to the Board means that five of eleven members of the Board would be persons who have been co-opted, that is to say persons appointed by the Directors, rather than shareholders. Ordinary Resolutions will now therefore be proposed at the EGM, for the approval of shareholders, for all appointments made since our last Annual General Meeting, namely Ms. Mary Brennan, Mr. Dermot Browne, Ms. Orlagh Hunt, Mr. David O'Connor and Mr. John O'Grady.

The EGM has been convened for 11 a.m. on 31 August 2016 at The Irish Farm Centre, Old Naas Road, Bluebell, Dublin 12, Ireland.

Copies of the Circular will be submitted to the National Storage Mechanism and will be available for download from www.morningstar.co.uk/uk/nsm or from the Company's website http://www.fbdgroup.com/ on the morning of 16 August 2016. It will also be available for inspection at the Companies Announcements Office, Irish Stock Exchange, 28 Anglesea Street, Dublin 2.
