Directors' Dealings and Awards
Following the Company's announcement of 1 July 2013 in relation to the transfer of the Company's Common Shares to the premium listing segment of the Official List of the Financial Conduct Authority (the "Transfer"), the Company makes the following announcement in respect of long term incentive plans in relation to Darren Throop, Patrice Theroux and Giles Willits ('Management').
Management Participation Scheme
As outlined in the announcement in relation to the Transfer on 23 May 2013, the conditions of the Management Participation Scheme have been met and on 1 July 2013 Management delivered irrevocable put notices to Entertainment One to exercise their put options in relation to this scheme. The put price is to be calculated and notice of the put price is to be delivered to Management by 16 July 2013, in accordance with the scheme. The deadline for the completion of the exercise of the put options is 23 July 2013.
Awards under new long term incentive plan
The Company also announced on 23 May 2013 that the Board had proposed to put in place anew long term incentive plan ('the Plan'), subject to Shareholder approval, details of which were contained in the circular published on 23 May 2013. The Plan was approved by Shareholders at the Annual and Special Meeting held on 28 June 2013.
Accordingly, the first awards under the Plan have now been made as follows:
·; Darren Throop will receive awards over 396,305 Common Shares
·; Patrice Theroux will receive awards over 304,685 Common Shares
·; Giles Willits will receive awards over 209,572 Common Shares
These awards will normally vest, subject to continued employment with a group company and any applicable performance and other conditions, on the later of the third anniversary of the date of award and the date on which the Remuneration Committee determines that the performance and other conditions have been satisfied (in whole or in part).
