Entertainment One Ltd. (the "Company") makes the following announcement in accordance with Rule 3.1.4 R of the FCA's Disclosure and Transparency Rules.
The Company has been informed that, as set out below:
· Darren Throop, a director of the Company, has disposed of nil paid rights and used the net proceeds of the sale of those nil paid rights and a further cash investment of £831,135 to take up the balance of his entitlement to new common shares to which he is entitled under the terms of the rights issue announced by the Company on 30 September 2015 (the "Rights Issue")
· Giles Willits, a director of the Company, has disposed of nil paid rights and used the net proceeds of the sale of those nil paid rights to take up the balance of his entitlement to new common shares to which he is entitled under the terms of the Rights Issue

As contemplated in the prospectus published by the Company on 30 September 2015 in connection with the Rights Issue, each director of the Company who holds common shares has, to the extent he is able, taken up in full his rights to subscribe for new common shares under the Rights Issue or has sold sufficient number of his nil paid rights to meet the cost of taking up the balance of his entitlements to new common shares.

Following this disposal and take up of nil paid rights, and upon the issue of new common shares relating to those rights pursuant to the Rights Issue, Darren Throop will own 9,893,333 common shares of the Company, representing 2.32% of the Company's issued share capital and Giles Willits will own 3,466,885 common shares of the Company, representing 0.81% of the Company's issued share capital.
