Earthport PLC31 January 2005 31 January 2005 earthport plc ("earthport") Offer update The Board of earthport has decided at this time that it is no longer in the bestinterests of its shareholders to proceed with an offer for BaltimoreTechnologies plc ("Baltimore"). The movement in Baltimore's share price sinceearthport announced that it was considering making an offer means that an offeris not in earthport's shareholders' interests. Accordingly earthport does notintend to make an offer for Baltimore. Except with the consent of the Panel on Takeovers and Mergers, earthport willnot be permitted to announce an offer for Baltimore within six months of thisannouncement. However, earthport reserves the right during this period to makean offer for Baltimore which is recommended by Baltimore's board or if a thirdparty were to announce a firm intention to make an offer for Baltimore. earthport intends to continue to pursue Baltimore for the money claimed byearthport through the Courts and remains confident of a favourable outcome.
