Issue of Shares / PDMR Shareholding

The Company has issued and allotted 14,420,632 new ordinary shares, pursuant to the exercise of warrants at a price of 11 pence per ordinary share, to Haystack Investments II, Ltd., an investment vehicle controlled by Hank Uberoi, Chief Executive of Earthport.

Haystack Investments II, Ltd is an investment vehicle wholly owned by Hank Uberoi, which is financed by a GBP2.25 million loan provided by Greencage Ltd, a private investment company incorporated in Hong Kong. Under the terms of the loan agreement, the proceeds of the loan will be used for the exercise of the warrants and any related expenses and taxes and, upon maturity, the loan can be converted into equity of Haystack Investments II, with the maximum holding of Greencage Ltd being limited to 40 per cent. of the share capital of Haystack Investments II. Hank Uberoi will control 100% of the voting rights of the company and the company will continue to comply with any reporting and regulatory obligations imposed on Mr. Uberoi

Following the issue of the 14,420,632 new ordinary shares pursuant to the exercise of warrants, Hank Uberoi will have an ownership interest in 26,062,450 ordinary shares representing 6.36 per cent of the issued share capital of the Company.

Accordingly, application has been made for the 14,420,632 new ordinary shares to be admitted to trading on AIM and it is expected that admission will take place on 3 July 2014.

The new ordinary shares will rank pari passu with the existing shares of the Company. Following admission, the Company's enlarged issued share capital will comprise 409,572,413 ordinary shares with one voting right per share. No shares are held in Treasury. The total number of voting rights in the Company is therefore 409,572,413.

This figure of 409,572,413 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
