Further to the Company's announcement on 8 November 2011, the Company has issued 18,457,411 new ordinary shares ("New Ordinary Shares") of 10 pence each to satisfy the conversion of the Convertible Loan Notes and conditional subscription (the "Conditional Subscription") entered into at the time of the Company's recent placing. This follows the approval of the relevant shareholder resolutions at the Company's AGM on Friday 16 December 2011.
9,633,882 New Ordinary Shares have been issued to satisfy the full conversion of the Convertible Loan Notes and a further 8,823,529 New Ordinary Shares have been issued to satisfy the Conditional Subscription. In accordance with the terms of the Convertible Loan Notes and the Conditional Placing, the New Ordinary Shares have been issued at a price of 17 pence per share.
Application will be made for the New Ordinary Shares issued to be admitted to trading on AIM ("Admission"). Admission is expected to be effective on 23 December 2011. The New Ordinary Shares will rank pari passu in all respects with the Company's existing issued ordinary shares.
Following Admission, the Company's enlarged issued share capital will comprise 285,123,463 ordinary shares with one voting right per share. There are no shares held in treasury and the total number of voting rights in the Company is therefore 285,123,463.
This figure of 285,123,463 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
