Posting of Offer Document

On 24 June 2013 the board of Eurasian Resources Group B.V. ("Eurasian Resources") announced the terms of an offer to be made by Eurasian Resources for the entire issued and to be issued share capital of Eurasian Natural Resources Corporation PLC ("ENRC") (other than the ENRC Shares already held by Eurasian Resources) (the "Offer").

On 2 August 2013 Kazakhmys PLC ("Kazakhmys") announced that all necessary resolutions had been passed at the Kazakhmys General Meeting held on the same day, approving, among other things, the publication of the Prospectus by Kazakhmys in respect of the Kazakhmys Consideration Shares and the acceptance of the Offer by the Kazakhmys Group.

Eurasian Resources is today posting to ENRC shareholders the document containing the full terms and conditions and procedures for acceptance of the Offer (the "Offer Document") together with the related Form of Acceptance.

The Offer is open for acceptance until 1.00 p.m. (London time) on 28 August 2013 (or such later time(s) or date(s) as Eurasian Resources may determine, subject to the consent of the Panel, where required).

Eurasian Resources has procured an irrevocable undertaking from Kazakhmys and Kazakhmys Eurasia B.V. in respect of Kazakhmys Eurasia B.V.'s beneficial holding of 334,824,860 ENRC Shares (representing approximately 26 per cent. of the existing issued share capital of ENRC) to accept the Offer. Eurasian Resources is the legal and beneficial holder of 693,922,241 ENRC Shares (representing approximately 53.9 per cent of the existing issued share capital of ENRC). Accordingly, upon the Kazakhmys Group validly accepting the Offer, the Offer will become unconditional as to acceptances (but will remain subject to the other Conditions).

To accept the Offer in respect of ENRC Shares in certificated form (that is, not in CREST), the completed and signed Forms of Acceptance should be returned and received by the Receiving Agent, and in respect of ENRC Shares held in uncertificated form (that is, in CREST), electronic acceptances should be settled, in accordance with the instructions set out in the Offer Document as soon as possible and, in any event, no later than 1.00 p.m. (London time) on 28 August 2013.

Copies of the Offer Document and the Form of Acceptance will be available free of charge, subject to certain restrictions relating to persons resident in Restricted Jurisdictions, for inspection at www.machkevitchconsortiumoffer.com, by no later than 12.00 noon (London time) on 8 August 2013.

The Prospectus is being published by Kazakhmys today and is available on Kazakhmys' website at www.kazakhmys.com.

Terms and expressions used in this announcement shall, unless the context otherwise requires, have the same meanings as given to them in the Offer Document.
