Issuance of share capital

In accordance with Listing Rule 9.6.4 the Company announces that it has issued 3,284,799 new ordinary shares in the capital of the Company (7.7% of the enlarged issued share capital). The shares have been issued to members of the Hotter management team in settlement of their entitlements under the Hotter MIP, as explained in the circular to shareholders convening a General Meeting held on 30 December 2021 in connection with the Company's proposed Admission to AIM and related matters (the "General Meeting"). All Resolutions were duly passed at the General Meeting.

The new shares rank pari passu with the existing ordinary shares in issue. 

Application is being made to the FCA and London Stock Exchange for the admission of 3,284,799 new ordinary shares to the Official List and to trading on the main market of the London Stock Exchange. Admission of the new ordinary shares is expected on 18 January 2022. 

As a result of the issue of new shares, the capital with voting rights of the Company now consists of 42,258,128 ordinary shares of 25 pence each. The Company has no shares in treasury. Therefore, the total number of voting rights in Electra Private Equity PLC is 42,258,128.

The above figure may be used by shareholders to determine the percentage of issued share capital they hold in the Company and if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
