Status of Global Depository Receipts

Cairo (27/05/2025) - EFG Holding S.A.E., (EGX: HRHO.CA - LSE: EFGD), an Egyptian joint stock company (the "Company"), hereby makes the following announcements:

· At its ordinary general assembly meeting (OGM) of shareholders held on 24 May 2025 (the "OGM"), the shareholders of the Company approved, inter alia, the distribution of dividends in the form of shares in U Consumer Finance S.A.E. (an indirect subsidiary of the Company) ("U") in preparation for U's trading on the Egyptian Exchange ("EGX") following the completion of U's registration with the Egyptian Financial Regulatory Authority ("FRA"), and approval of the disclosure report for trading purposes by the FRA (the "U Shares Distribution").

· The resolutions put to the shareholders were duly passed at the OGM. The resolutions can be found in the Summary of Resolutions (translated from Arabic) announced on LSE on or about the date hereof.

· The U shares have not been and will not be registered under the U.S. Securities Act of 1933, as amended. Consequently, no U shares will be distributed by the Company to the holders of the Company's Global Depository Receipts ("GDRs").

· Following approval of the disclosure report for trading purposes by the FRA and the commencement of trading, the Bank of New York Mellon ("BNY Mellon"), as the depositary under the Company's GDR program, will attempt to sell on EGX any U shares it receives in such capacity (based on the record date for the U Shares Distribution to be announced in due course on EGX screens). The proceeds received from this sale, if any, will be distributed to the GDR holders. BNY Mellon will announce the GDR payable date and the cash distribution rate at a later date.
