Key Highlights: • Successful admission to AIM on June 1, 2007; • DUPD has raised US$ 208 million on Admission to AIM (June 2007) and US$ 100 million in a secondary placement (November 2007); • US$ 199.5 million has been committed for 7 projects; • Net Profit after tax of US$ 45.9 million; • NAV growth of 15.2% to US$ 350 million. CHAIRMAN'S STATEMENT AND BUSINESS REVIEW DUPD was formed to invest in the development of high-quality commercial andresidential real estate assets in Ukraine and to recognize strong returns onsuch investments. The Company commenced trading on AIM, in June 2007 raisinggross proceeds of $208 million. Subsequently, In November 2007, after havingdeployed most of its IPO capital on committed investments, DUPD raised anadditional $100 million in a secondary private placing. Our main focus is on the development of high-quality commercial and residentialproperties and to a lesser extent on acquisition and reconstruction of existingproperties. We also favour alternative types of investment in real estate,including acquisitions of substantial land fields with potential for developmentof large-scale residential projects. Our investment and development activitiesfocus on Kyiv and Kyiv oblast as well as other major regional centres of Ukrainewith significant amount of population. Investment opportunities in smaller, yetimportant centres in Ukraine may be exploited by the Company, on a selectivebasis. It is in-depth local knowledge, our ability to promptly re-zone land and quicklyobtain project and construction permits that gives us an invaluable insight intochoosing the right projects and ensuring successful completion and highinvestment returns. Operational Review With an additional US$ 3.6 million committed on existing projects during thefirst two months of 2008, total commitments reached US$ 203.1 million, whileuncommitted capital stood at US$ 117.3 million. Our portfolio projectsencompass all of the key segments of our investment focus, including mixed-use,residential and retail developments. We are confident that in each project wewill be able to deliver a high-quality product, and thus maintain our leadingposition in the Ukrainian property market. DUPD has demonstrated its ability tosource attractive off-market opportunities through the extensive network ofproprietary contacts of our investment manager in Ukraine. Our management teamis being continually enhanced with dedicated property professionals with solidexperience in the Ukrainian market. This allows us to continue sourcing deals on favorable terms and secure deliveryof our existing projects under development. Our investment strategy, focusing on development of quality commercial andresidential properties, continues to be supported by robust growth of theUkrainian real estate market, favorable macroeconomic trends and a largeundersupply of quality properties across all segments of the market. Looking ahead, 2008 will be a year of great importance for our on-goingprojects. Based on the progress to-date, I am confident that the permitting anddevelopment processes on existing projects will continue as planned, thuscreating additional value for our shareholders. Financial Review The Company is pleased to present its financial results for the period ended 31December 2007 which are in line with management's expectations. The consolidatedfinancial statements are prepared by KPMG, in accordance with IFRS. During the period under review, the Company generated net profit after tax ofUS$ 45,886,000. As at 31 December 2007, the Company had current assets, mainly comprised of bankdeposits, prepayments, investment property, totaling US$ 196.2 million. TheCompany's current liabilities remained insignificant, comprising mainly of feepayables to the Investment Manager (Management and Performance fee), andamounted to US$ 10.2 million. The Company had no short term or long term bankborrowings, or any third party loans. The current liabilities to current assetsratio was 5.2%, whereas the total liabilities to total assets ratio of theCompany was 3.5% as at 31 December 2007. The Company is operating in the Ukrainian real estate segment where rental ratesand real estate prices are denominated in US dollars. Thus, the board hasdecided to choose US dollar as a reporting currency for the Company. The Company does not intend to declare a dividend for the year ended 31 December2007. Management and Board The Board of Directors is comprised by a set of highly experienced individuals.Each director brings a wealth of knowledge and a specific skill set within thereal estate business. Prospects Evidenced by our performance in 2007, the Company has proved its ability tosource excellent off market opportunities that offer strong upside potential forour shareholders. Although, the Ukrainian real estate market is becoming morecompetitive with an increasing number of foreign real estate investors active inCentral Eastern Europe region and Ukraine in particular, we believe that througha dedicated management team, having full-time local presence, extensive marketexpertise and strong reputation in the market, we will be able to identify,structure and execute market transactions that will feature the samecharacteristics, as the ones we have already completed, in terms of investmentattractiveness. It is the availability of dedicated local resources, which also makes usconfident in timely and cost efficient execution of our on-going transactions,including completion of consolidation on the land banking side, which shouldbecome a substantial contribution to the enhancement of our asset base. (b) Business environment Ukrainian business environment Ukraine is experiencing political and economic change that has affected, and maycontinue to affect, the activities of enterprises operating in this environment.Consequently, operations in Ukraine involve risks that typically do not exist inother markets. These consolidated financial statements reflect management'scurrent assessment of the possible impact of the Ukrainian business environmenton the operations and the financial position of the Group. The future businessenvironment may differ from management's assessment. 2 Basis of preparation (a) Statement of compliance These consolidated financial statements are prepared in accordance withInternational Financial Reporting Standards (IFRSs). (b) Basis of measurement The financial statements are prepared on the historical cost basis except forinvestment property, which is carried at fair value. These consolidated financial statements are presented in the thousands of USdollars (USD). (c) Functional and presentation currency Management believes that the most appropriate functional and presentationcurrency for these consolidated financial statements is US dollars. All fundsraised by the Parent Company are in US dollars, and all project developments arebased on US dollars. Deposits and prepayments are also in US dollars. Allfinancial information presented in US dollars is rounded to the nearestthousand. (d) Use of judgments, estimates and assumptions The preparation of financial statements in conformity with IFRSs requiresmanagement to make judgments, estimates and assumptions that affect theapplication of accounting policies and the reported amounts of assets,liabilities, income and expenses. Actual results may differ from theseestimates. Estimates and underlying assumptions are reviewed on an ongoing basis. Revisionsto accounting estimates are recognized in the period in which the estimates arerevised and in any future periods affected. In particular, information about significant areas of estimation uncertainty andcritical judgments in applying accounting policies that have the mostsignificant effect on the amounts recognized in the financial statements areincluded in the following notes: • note 6 - valuation of investment property • note 15 - measurement of share-based payments 3 Significant accounting policies The significant accounting policies applied in the preparation of theconsolidated financial statements are described below. (a) Basis of consolidation (i) Subsidiaries Subsidiaries are entities controlled by the Parent Company. Control exists whenthe Parent Company has the power to govern the financial and operating policiesof an entity so as to obtain benefits from its activities. In assessing control,potential voting rights that presently are exercisable are taken into account. The financial statements of subsidiaries are included in the consolidatedfinancial statements from the date that control commences until the date thatcontrol ceases. Where necessary, adjustments are made to the financialstatements of subsidiaries to bring their accounting policies into line withthose used by other members of the Group. The result of subsidiaries acquired during the year is included in theconsolidated statement of operations from the effective date of acquisition. Associates are accountedfor using the equity method. The consolidated financial statements include theGroup's share of the income and expenses of associates, after adjustments toalign the accounting policies with those of the Group, from the date thatsignificant influence commences until the date that significant influenceceases. When the Group's share of losses exceeds its interest in an associate,the carrying amount of that interest (including any long-term investments) isreduced to nil and the recognition of further losses is discontinued except tothe extent that the Group has an obligation or has made payments on behalf ofthe investee. Box3469, Road Town, British Virgin Islands. According to the subscription agreementthe Group is required to invest an additional USD 4,000,000 in future Henrylandshare subscriptions. The share of the Group will remain 38% since all othershareholders of Henryland Group Ltd. are required to invest proportionally. Theprincipal activity of Henryland is the development of investment property inUkraine. In December 2007 the Group acquired 15% of the shareholding interest of HindaleLtd. This company, through its subsidiary Promtek Ltd, holds the lease right ona plot of land located on Komarova Avenue, Kiev, Ukraine. The Group has theright to appoint two (out of four) representatives to the Board of Directors,and thereby has significant influence over its financial and operatingactivities. Pursuant to a shareholder agreement, the Group intends to acquire50% + 1 share through participation in a proposed share capital increase. (iii) Transactions eliminated on consolidation Intra-group balances, and any unrealized income and expenses arising fromintra-group transactions, are eliminated in preparing the consolidated financialstatements. Unrealized gains arising from transactions with equity accountedinvestees are eliminated against the investment to the extent of the Group'sinterest in the investee. Unrealized losses are eliminated in the same way asunrealized gains, but only to the extent that there is no evidence ofimpairment. (b) Foreign currency and operations (i) Foreign currency transactions Transactions in foreign currencies are translated to the respective functionalcurrencies of Group entities at exchange rates at the dates of the transactions.Monetary assets and liabilities denominated in foreign currencies at thereporting date are retranslated to the functional currency at the exchange rateat that date. Non-monetary assets and liabilities that are measured at fairvalue in a foreign currency are translated to the functional currency at theexchange rate at the date that the fair value was determined. Foreign currencydifferences arising on retranslation are recognized in profit or loss. (ii) Foreign operations The assets and liabilities of foreign operations, including goodwill and fairvalue adjustments arising on acquisition, are translated to USD at exchangerates at the reporting date. The income and expenses of foreign operations aretranslated to USD at exchange rates at the dates of the transactions. (c) Cash and cash equivalents Cash and cash equivalents comprise cash balances and call deposits. Cashequivalents are short-term, highly liquid investments that are readilyconvertible to known amounts of cash and which are subject to an insignificantrisk of changes in value. Bank overdrafts that are repayable on demand and forman integral part of the Group's cash management are included as a component ofcash and cash equivalents for this purpose. (d) Share capital Incremental costs directly attributable to issue of ordinary shares and shareoptions are recognized as a deduction from equity. (e) Investment properties Investment properties are those that are held either to earn rental income orfor capital appreciation or for both. Investment properties principally comprisefreehold land, leasehold land and investment properties held for a futureredevelopment. Land held under operating lease is classified and accounted foras investment property when it meets the definition of investment property. (i) Initial measurement and recognition Investment properties are measured initially at cost, including related costs.Investment properties are derecognised on disposal or when they are permanentlywithdrawn from use and no future economic benefits are expected from itsdisposal. The gain or loss on disposal is calculated as the difference betweenthe net disposal proceeds and the carrying amount of the asset and is recognisedas gain or loss in the statement of operations. If the Group uses part of the property for its own use, and part to earn rentalsor for capital appreciation, and the portions can be sold or leased outseparately, they are accounted for separately. Therefore the part that is rentedout is investment property. If the portions cannot be sold or leased outseparately, the property is investment property only if the company-occupiedportion is insignificant. (ii) Subsequent measurement Subsequent to initial recognition investment properties are stated at fairvalue. Any gain or loss arising from a change in fair value is included in theconsolidated statement of operations in the period in which it arises. When the Group begins to redevelop an existing investment property for continuedfuture use as investment property, the property remains an investment property,which is measured at fair value, and is not reclassified to property andequipment during the redevelopment. It is the Group's policy that an external, independent valuation company, havingan appropriate recognized professional qualification and recent experience inthe location and category of property being appraised values the portfolio everysix months. The fair value is the amount for which a property could be exchangedon the date of valuation between a willing buyer and a willing seller in anarm's length transaction. The valuation is prepared in accordance with thepractice standards contained in the Appraisal and Valuations Standards publishedby the Royal Institution of Chartered Surveyors (RICS) or in accordance withInternational Valuation Standards published by the International ValuationsStandards Committee. In general terms, there are three valuation approaches. The income approachrelates the value of an asset to the present value of the asset's futureexpected cash flows. This approach is applied in two methods - incomecapitalization and discounted cash flow (DCF) method. The market comparables approach estimates the value of an asset by a comparisonof prices for comparable assets. The cost approach relates the value of an asset to the cost of the asset's newconstruction. There can be significant differences in fair values depending upon whichapproach is used. Management believes that there is no active market in Ukraine for land becausethere are few transactions and each transaction tends to be unique and subjectto significant negotiations. Therefore, management has chosen to use a valuationmodel to estimate fair value. After an analysis of each of the methods, discussion with the independentappraiser, and considering the types of investment properties owned by the Groupand their intended development, management chose to estimate the fair value ofland using the "residual land value" income approach. Under this method, thefair value of the freehold and leasehold interest in land equals the residualvalue of land under development (assuming that the developer will meet the termsset for development). The residual value of land is determined based on the value for which such landcould be sold in the market, which is estimated by appraisers to be the fairvalue of the completed project less cost to complete and an appropriatedeveloper's profit. The residual value of land is equal to future cash flowsgenerated by the developed property within the forecasting period plus terminalvalue of the property less development costs and developer's interest. (f) Property and equipment (i) Recognition and measurement Items of property and equipment are measured at cost less accumulateddepreciation and impairment losses. Cost includes expenditures that are directly attributable to the acquisition ofthe asset. The cost of self-constructed assets includes the cost of materialsand direct labor, any other costs directly attributable to bringing the asset toa working condition for its intended use, and the costs of dismantling andremoving the items and restoring the site on which they are located. Purchasedsoftware that is integral to the functionality of the related equipment iscapitalized as part of that equipment. When parts of an item of property and equipment have different useful lives,they are accounted for as separate items (major components) of property, plantand equipment. (ii) Subsequent costs The cost of replacing part of an item of property and equipment is recognized inthe carrying amount of the item if it is probable that the future economicbenefits embodied within the part will flow to the Group and its cost can bemeasured reliably. The costs of the day-to-day servicing of property andequipment are recognized in profit or loss as incurred. (iii) Depreciation Depreciation is recognized in profit or loss on a straight-line basis over theestimated useful lives of each part of an item of property and equipment. Leasedassets are depreciated over the shorter of the lease term and their usefullives. Land is not depreciated. The estimated useful lives for the current and comparative periods are asfollows: • vehicles and equipment 5 years • fixture and fittings 3 years (g) Goodwill Goodwill arises on the acquisition of subsidiaries, associates and jointventures. Goodwill represents the excess of the cost of the acquisition over theGroup's interest in the net fair value of the identifiable assets, liabilitiesand contingent liabilities of the acquiree. When the excess is negative(negative goodwill), it is recognized immediately in profit or loss. Goodwill is measured at cost less accumulated impairment losses. In respect ofassociates, the carrying amount of goodwill is included in the carrying amountof the investment. (h) Inventories Inventories are measured at the lower of cost and net realizable value. The costof inventories is based on the first-in first-out principle, and includesexpenditure incurred in acquiring the inventories and bringing them to theirexisting location and condition. (i) Impairment (i) Financial assets A financial asset is assessed at each reporting date to determine whether thereis any objective evidence that it is impaired. A financial asset is consideredto be impaired if objective evidence indicates that one or more events have hada negative effect on the estimated future cash flows of that asset. An impairment loss in respect of a financial asset measured at amortised cost iscalculated as the difference between its carrying amount, and the present valueof the estimated future cash flows discounted at the original effective interestrate. Individually significant financial assets are tested for impairment on anindividual basis. The remaining financial assets are assessed collectively ingroups that share similar credit risk characteristics. All impairment losses are recognised in the statement of operations. An impairment loss is reversed if the reversal can be related objectively to anevent occurring after the impairment loss was recognised. For financial assetsmeasured at amortised cost the reversal is recognised in the statement ofoperations. (ii) Non-financial assets The carrying amounts of the non-financial assets, other than inventories anddeferred tax assets, are reviewed at each reporting date to determine whetherthere is any indication of impairment. If any such indication exists then theasset's recoverable amount is estimated. For goodwill and intangible assets thathave indefinite lives or that are not yet available for use, recoverable amountis estimated at each reporting date. An impairment loss is recognized if the carrying amount of an asset or itscash-generating unit exceeds its recoverable amount. A cash-generating unit isthe smallest identifiable asset group that generates cash flows that largely areindependent from other assets and groups. Impairment losses are recognized inprofit or loss. Impairment losses recognized in respect of cash-generating unitsare allocated first to reduce the carrying amount of any goodwill allocated tothe units and then to reduce the carrying amount of the other assets in the unit(group of units) on a pro rata basis. The recoverable amount of an asset or cash-generating unit is the greater of itsvalue in use and its fair value less costs to sell. In assessing value in use,the estimated future cash flows are discounted to their present value using apre-tax discount rate that reflects current market assessments of the time valueof money and the risks specific to the asset. An impairment loss in respect of goodwill is not reversed. In respect of otherassets, impairment losses recognized in prior periods are assessed at eachreporting date for any indications that the loss has decreased or no longerexists. An impairment loss is reversed if there has been a change in theestimates used to determine the recoverable amount. An impairment loss isreversed only to the extent that the asset's carrying amount does not exceed thecarrying amount that would have been determined, net of depreciation oramortization, if no impairment loss had been recognized. (j) Share based payments The grant date fair value of options granted to employees is recognized as anemployee expense, with a corresponding increase in equity, over the period thatthe employees become unconditionally entitled to the options. The amountrecognized as an expense is adjusted to reflect the actual number of shareoptions that vest. For equity settled share-based payment transaction other than transactions withemployees the Group measures the goods or services received at the fair value ofgoods and services, unless that fair value cannot be estimated reliably. If thisis case the Group measures their fair values and the corresponding increase inequity, indirectly, by reference to the fair value of equity instrumentsgranted. (k) Provisions A provision is recognized if, as a result of a past event, the Group has apresent legal or constructive obligation that can be estimated reliably, and itis probable that an outflow of economic benefits will be required to settle theobligation. Provisions are determined by discounting the expected future cashflows at a pre-tax rate that reflects current market assessments of the timevalue of money and the risks specific to the liability. (l) Finance income and expenses Finance income comprises interest income on funds invested, dividend income, andforeign currency gains. Interest income is recognized as it accrues, using theeffective interest method. Dividend income is recognized on the date that theGroup's right to receive payment is established. Finance expenses comprise interest expense on borrowings, unwinding of thediscount on provisions. All borrowing costs are recognized in profit or lossusing the effective interest method, except for borrowing costs related toqualifying assets which are recognized as part of the cost of such assets. Foreign currency gains and losses are reported on a net basis. (m) Income tax expense Income tax expense comprises current and deferred tax. Income tax expense isrecognized in profit or loss except to the extent that it relates to itemsrecognized directly in equity, in which case it is recognized in equity. Current tax is the expected tax payable on the taxable income for the year,using tax rates enacted or substantively enacted at the reporting date, and anyadjustment to tax payable in respect of previous years. Deferred tax is recognized using the balance sheet method, providing fortemporary differences between the carrying amounts of assets and liabilities forfinancial reporting purposes and the amounts used for taxation purposes.Deferred tax is not recognized for the following temporary differences: theinitial recognition of goodwill, the initial recognition of assets orliabilities in a transaction that is not a business combination and that affectsneither accounting nor taxable profit, and differences relating to investmentsin subsidiaries to the extent that they probably will not reverse in theforeseeable future. Deferred tax is measured at the tax rates that are expectedto be applied to the temporary differences when they reverse, based on the lawsthat have been enacted or substantively enacted by the reporting date. A deferred tax asset is recognized to the extent that it is probable that futuretaxable profits will be available against which temporary difference can beutilized. Deferred tax assets are reviewed at each reporting date and arereduced to the extent that it is no longer probable that the related tax benefitwill be realized. For presentation purposes, deferred taxes related to the revaluation ofinvestment properties are netted against the carrying amount of investmentproperties. (n) Earnings per share The Group presents basic and diluted earnings per share (EPS) data for itsordinary shares. Basic EPS is calculated by dividing the profit or lossattributable to ordinary shareholders by the weighted average number of ordinaryshares outstanding during the period. Diluted EPS is determined by adjusting theprofit or loss attributable to ordinary shareholders and the weighted averagenumber of ordinary shares outstanding for the effects of all dilutive potentialordinary shares, which comprise warrants and share options. (o) Segment reporting A segment is a distinguishable component of the Group that is engaged either inproviding related products or services (business segment), or in providingproducts or services within a particular economic environment (geographicalsegment), which is subject to risks and rewards that are different from those ofother segments. The primary format for segment reporting is based on businesssegments. The definition of those segments corresponds to the industry accepteddefinitions used in the real estate business, i.e., office real estate, retailreal estate, and residential real estate. (p) New standards and interpretations not yet adopted A number of new standards, amendments to standards and interpretations are notyet effective for the year ended 31 December 2007, and have not been applied inpreparing these consolidated financial statements. Management plans to adoptthese pronouncements when they become effective, and has not yet analysed thelikely impact of these new standards on its consolidated financial statements. IFRS 8 Operating Segments introduces the "management approach" to segmentreporting. IFRS 8, which becomes mandatory for the 2009 consolidated financialstatements, requires the disclosure of segment information based on the internalreports regularly reviewed by the Chief Operating Decision Maker in order toassess each segment's performance and to allocate resources to them. International Financial Reporting Standard IAS 1 Presentation of FinancialStatements (Revised), which is effective for annual periods beginning on orafter 1 January 2009, specifies how an entity should present changes in equitynot resulting from transactions with owners and other changes in equity in itsfinancial statements, and introduces certain other requirements in respect ofpresentation of information in the financial statements. International Financial Reporting Interpretations Committee (IFRIC) 11 IFRS 2 -Group and Treasury Share Transactions requires a share-based payment arrangementin which an entity receives goods or services as consideration for its ownequity instruments to be accounted for as an equity-settled share-based paymenttransaction, regardless of how the equity instruments are obtained. IFRIC 11 ismandatory for the 2008 consolidated financial statements, with retrospectiveapplication required. 4 Segment Reporting Segment results, assets and liabilities include items directly attributable to asegment as well as those that can be allocated on a reasonable basis.Unallocated items comprise mainly of corporate assets and expenses. Since Obolon was acquired by the Group close to the year end there was no postacquisition profit earned by this subsidiary in 2007. Management engaged registered independent appraiser Knight Frank, having arecognized professional qualification and recent experience in the location andcategories of the projects being valued, to assist with the estimation of fairvalue. Estimation of fair value is made using net present value calculation based oncertain assumptions, used in the Knight Frank appraisals the most important ofwhich are as follows: • rental rates which were based on current rental rates • development costs: based on current construction prices • discount rates: range from 12.07% to 12.96% • developers' profit - 20.0-25.0 % In estimating the value of investment properties, management recognizes thatcertain adjustments should be applied, where necessary, in order to take intoconsideration changes in cash flows relating to income taxes and VAT. Forinstance, discount rates that apply to a direct asset sale should be reduced toapproximately 9.0%, or lower. For presentation purposes, deferred taxes related to the revaluation ofinvestment properties are netted against the carrying amount of investmentproperties. Sensitivity If rental rates are 5% less than what is used in the valuation model, the fairvalue of investment property would be USD 7,500,000 lower. If rental rates are5% higher, then the fair value of investment property would be USD 7,400,000higher. If development costs are 5% higher than what is used in the valuation model, thefair value of investment property would be USD 3,000,000 lower. If developmentcosts are 5% less, then the fair value of investment property would be USD2,900,000 higher. If the discount rate applied is 1% higher than what is used in the valuationmodel, the fair value of investment property would be USD 3,500,000 lower. Ifthe discount rate is 1% less, then the fair value of investment property wouldbe USD 3,700,000 higher. If developers' profit is 5% less than what is used in the valuation model, thefair value of investment property would be USD 3,216,000 higher. If developers'profit is 5% higher, then the fair value of investment property would be USD3,352,000 lower. 7 Prepayments for land The Group made prepayments for land acquisition for development projects in theamount of USD 96,000,000 secured by the land (note 22). In consideration for its services thereunder, the Manager is entitled to be paidan annual management fee of 1.5% of the gross asset value (GAV) of the Group atthe end of the relevant accounting period or part thereof plus value added taxor similar taxes which may be applicable. GAV is to be calculated on a semi-annual basis and is derived from theconsolidated balance sheet after adding back any dividends declared or paid inrelation to such accounting period. For these purposes GAV is the aggregate of the consolidated non-current andcurrent assets adjusted to reflect the value of investment property and otherassets representing interests in property or property related activities valuedin accordance with the Group's property valuation policy less the Group'sconsolidated liabilities, excluding bank or third party indebtedness directlyrelated to the relevant real estate. The Manager is also entitled to receive an annual performance fee calculated byreference to the increase in the net asset value (NAV) per share over therelevant accounting period. For these purposes NAV is is the aggregate of theconsolidated non-current and current assets of the Group adjusted to reflect thevalue of its properties and other assets representing interests in property orproperty related activities valued in accordance with the Group's PropertyValuation Policy less its consolidated liabilities (including minority interestand payables related to Management Fee) provided that, in respect of the Group'sfirst accounting reference period, the opening NAV is equal to the net proceedsof the initial sale of shares. Where the NAV per share at the end of the relevant accounting period exceeds thehighest NAV per share at the end of any previous accounting period by 10% ormore but not more than 35%, the Manager is entitled to a performance fee inrespect of such accounting period of 20% of the amount by which such excessexceeds 10%. The Ukrainian tax system can becharacterized by numerous taxes and frequently changing legislation which may beapplied retroactively, open to wide interpretation and in some cases areconflicting. Instances of inconsistent opinions between local, regional, andnational tax authorities and between the National Bank of Ukraine and theMinistry of Finance are not unusual. Tax declarations are subject to review andinvestigation by a number of authorities that are enacted by law to imposesevere fines, penalties and interest charges. A tax year remains open for reviewby the tax authorities during the three subsequent calendar years, however undercertain circumstances a tax year may remain open longer. These facts create taxrisks substantially more significant than typically found in countries with moredeveloped systems. Management believes that it has adequately provided for tax liabilities based onits interpretation of tax legislation, official pronouncements and courtdecisions. However, the interpretations of the relevant authorities could differand the effect on consolidated financial statements, if the authorities weresuccessful in enforcing their interpretations, could be significant. (b) Insurance The insurance industry in the Ukraine is in a developing state and many forms ofinsurance protection common in other parts of the world are not yet generallyavailable. The Group does not have full coverage for its property, businessinterruption, or third party liability in respect of property or environmentaldamage arising from accidents on Group property or relating to Group operations.Until the Group obtains adequate insurance coverage, there is a risk that theloss or destruction of certain assets could have a material adverse effect onthe Group's operations and financial position. 19 Earnings per share Basic earnings per share The calculation of basic earnings per share is based upon the profit for theperiod from 23 February to 31 December 2007 attributable to the ordinaryshareholders of USD 46,038,547 and a weighted average number of ordinary sharesoutstanding calculated as follows: 2007(in number of shares) Shares issued on incorporation on 23 February 1Sub-division of GBP 1 shares into GBP 0.01 shares on 16 May 10Shares issued on 1 June 60,333,449Shares issued on 29 November 14,874,359 Weighted average number of shares for the period from 23 February to 31 December 75,207,819 Diluted earnings per share The calculation of diluted earnings per share is based on profit attributable toordinary shareholders of USD 46,038,547 and a weighted average number ofordinary shares outstanding after adjustment for the effects of all dilutivepotential ordinary shares calculated as follows: 31 December 2007 (in number of shares) Weighted average number of shares for the year ended 31 December 75,207,819Share options 14,628Warrants 912,807 Weighted average number of shares for the period from 23 February 31 December (fully 76,135,254diluted) 20 Financial risk management Exposure to credit, interest rate and currency risk arises in the normal courseof the Group's business. The Group does not hedge its exposure to such risk. (a) Risk management policy The Board has assessed major risks and grouped them in a register of significantrisks. This register is reviewed by the Board at least twice per year or moreoften if there are circumstances requiring such a review. (b) Credit risk When the Group enters into arrangement exposing it to credit risk, it does soonly on basis of due diligence research and the reputation of the counterparty.The largest exposures relate to bank deposits of USD 177,964,424 and prepaymentsmade under two land acquisition contracts totaling USD 96,000,000. This latterrisk is mitigated by pledge agreements for the portion of the land to beacquired. (c) Interest rate risk Changes in interest rates impact primarily cash and cash equivalents by changingeither their fair value (fixed rate deposits) or their future cash flows(variable rate deposits). Management does not have a formal policy ofdetermining how much of the Group's exposure should be to fixed or variablerates. However, at the time of placing new deposits Management uses its judgmentto decide whether it believes that a fixed or variable rate would be morefavorable over the expected period until maturity. (d) Foreign currency risk The Group is exposed to foreign currency risk on sales, purchases and borrowingsthat are denominated in a currency other than the functional currencies of therespective Group entities. The currencies giving rise to this risk are primarilyUAH and EUR. Thisanalysis assumes that all other variables, in particular interest rates, remainconstant. None of the balances are secured. 22 Events subsequent to the balance sheet date Subsequent to 31 December 2007 the Group increased its stake in the Obolonproject from 75.15% to 96.55% by acquisition of additional shares for the amountof USD 3,205,000, which was settled in cash. Under the Agreement the pledgor, GraduateTechnologies Ltd, granted a security interest in property as security for theperformance of the prepayments. The pledge encompasses the corporate rights ofGraduate Technologies Ltd in a Ukrainian subsidiary that owns land plotsamounting to 80 hectares located in the Kyiv region. On the 28 February 2008 the Group entered into a land acquisition agreement(Land Agreement). Pursuant to the Land Agreement the Group intends to acquireindirectly through legal entities and/or natural persons land plots with totalarea of approximately 31.8 hectares, situated at Vita Pochtova village. In 2008the Group made prepayments according to the Land Agreement in the amount of USD8,670,000. Total commitments under the agreement are USD 14,000,000.
