Results of General Meeting, Open Offer and Total Voting Rights
Dods (AIM: DODS), a leading business intelligence, data, events, media and training company, is pleased to announce that at the General Meeting held earlier today, all resolutions put to Shareholders in connection with the Acquisition and Fundraising were duly passed. A summary of the voting results is shown below.

Furthermore, the Open Offer closed for acceptances at 11.00 a.m. on 15 July 2019 with final valid applications from Qualifying Shareholders in respect of 13,104,158 Open Offer Shares including applications under the Excess Application Facility, representing a take-up of approximately 84 per cent. of the Open Offer Shares.
Accordingly, the Company will raise a total of approximately £13 million (before expenses) through the Placing, Open Offer and Subscription through the issue and allotment of 200,572,879 new Ordinary Shares. An application has been made for 214,288,760 new Ordinary Shares (which includes the Initial Consideration Shares) to be admitted to trading on AIM (Admission), which is expected to take place at 8.00 a.m. on 18 July 2019.
Following Admission, the Company's issued ordinary share capital will comprise 555,929,713 ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares"), of which none are held in treasury. The above figure of 555,929,713 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the voting rights of the Company under the FCA's Disclosure Guidance and Transparency Rules.
Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as defined in the circular sent to shareholders of the Company on 28 June 2019.
