Issue of shares

Danakali Limited (ASX: DNK / LSE: DNK) (Danakali, or the Company) confirms that it has issued a total of 47,565,999 new fully paid shares (Shares) pursuant to the placement announced by the Company on 29 April 2021.

A completed Appendix 2A has been lodged together with this announcement in respect of the Placement Shares (47,296,231 shares) and Other PDMR/PCA Shares (269,768 shares) issued and is available for download at: https://www2.asx.com.au/markets/trade-our-cash-market/announcements.dnk.

Secondary Trading Exemption - s708A Notice

Danakali gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act) of the following:

· The Shares were issued without disclosure under Part 6D 2 of the Act;

· This notice is being given under section 708A(5)(e) of the Act;

· As at the date of this notice, the Company has complied with:

― The provisions of Chapter 2M of the Act as they apply to the Company; and

― Section 674 of the Act; and

· As at the date of this notice, there is no information:

― That has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

― That investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

o The assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

o The rights and liabilities attaching to the Shares.

Disclosure information - Other PDMR/PCA Shares

The issue of 269,768 Other PDMR/PCA Shares is not subject to shareholder approval and will fall within the Company's 15% placement capacity under ASX LR 7.1.

The Other PDMR/PCA Shares rank pari passu with the existing ordinary shares in the Company. Application will be made for the Other PDRM/PCA Shares to be admitted to the Official List of the FCA (Standard Segment) and to trading on the London Stock Exchange's Main Market (LSE Admission). LSE Admission is expected to occur on Thursday, 6 May 2021.

Total voting rights

Conditional on admission of the Other PDMR/PCA Shares, the Company will have 367,254,346 ordinary shares on issue, all of which have the right to one vote. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company will be 367,254,346 which figure may be used by shareholders or other persons as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company.
