Danka Business Systems PLC20 December 2006 For immediate release 20 December 2006 Danka Business Systems PLC ("Danka" or the "Company") DIRECTORS' SHAREHOLDINGS The Company announces that a total of 619,328 Ordinary Shares, in the form of154,832 American Depositary Shares ("ADSs") were issued on 20 December 2006 tothe Company's non-executive directors pursuant to the terms of the Danka 2002Outside Director Stock Compensation Plan ("the Plan"), at a price of $1.55 perADS (equivalent to £0.20 per Ordinary Share). Under the terms of the Plan, whichwas approved at the Annual General Meeting on 22nd October 2002, eachnon-executive director is eligible to be issued with restricted shares to thevalue of $30,000 as part of his or her annual compensation. The issue price isthe average of 20 days market prices for the ADSs for the period from 10November 2006 to 8 December 2006, as required by the Plan.
