Debenhams plc announces the successful UPSIZING AND pricing of £225m Senior Notes due 2021

London, UK, 25 June 2014 - Debenhams plc ("Debenhams" or the "Company") announces today that it has priced its offering of £225 million Senior Notes due 2021 at 5.25% (the "Notes"). The offering was upsized from the previously announced £200 million aggregate principal amount.

The offering is expected to close on 2 July 2014 upon the satisfaction or waiver of customary closing conditions. The proceeds from the issue and sale of the Notes, when completed, will be used to prepay existing credit facilities of Debenhams and to pay the fees and expenses related to the offering and sale of the Notes.

The Notes and the guarantees thereof have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or applicable state securities laws. The Notes will be offered only to persons outside the United States in reliance on Regulation S under the Securities Act. Unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
