Holdings in the Company

Countrywide plc (the "Company") has been informed by AIF VI Euro Holdings, L.P. and AAA Guarantor Co-Invest VI, L.P (the "Apollo-Affiliated Funds") that the aggregate shareholdings under the control of the Apollo-Affiliated Funds have reduced from 23,858,831 ordinary shares, representing 10.87% of the voting rights of the Company, to 22,436,024 ordinary shares, representing 10.22% of the voting rights of the Company.

This reduction follows the termination of a co-investor agreement between the Apollo-Affiliated Funds and the Pantheon Funds (Pantheon Europe Fund IV Limited and Pantheon Europe Fund V "A" LP) whereby the Apollo-Affiliated Funds held a power of attorney over the Pantheon Funds' shares and agreed to exercise the rights attached to those shares (including voting rights) in the same manner as its own.

The Pantheon Funds hold 1,422,807 ordinary shares, representing 0.65% of the voting rights of the Company. The Company has been advised that the Pantheon Funds' shareholding is no longer subject to the lock-up arrangements announced on the 14 August 2013. The Apollo-Affiliated Funds' resultant shareholding of 22,436,024 ordinary shares continues to be subject to certain lock-up arrangements precluding additional share sales for 90 days from 14 August 2014 subject to certain exceptions.
