Cathay International Holdings Ld19 December 2006 19 December 2006 CATHAY INTERNATIONAL HOLDINGS LIMITED (the 'Company')Total Issued Share Capital and Voting Rights In conformity with the Transparency Directive's transitional provision 6, wewould like to notify the market of the voting rights in respect of the issuedshare capital of the Company which is admitted to trading on a regulated marketas of 18 December 2006, being the latest practicable date prior to thisannouncement, as follows: The total issued share capital of the Company which is admitted to trading on aregulated market is comprised of 264,016,228 Common Shares of par value US$0.05each. Each Common Share carries one vote. There are also 11,843,876 A Shares of par value US$0.05 each of the Company inissue. The A Shares are not admitted to trading on a regulated or prescribedmarket and no application has been made for the A Shares to be admitted to theOfficial List of the United Kingdom Listing Authority or any other market. The AShares and the Common Shares rank equally in all respects save that each A Sharecarries 20 votes and each Common Share carries one vote. The A Shares areconvertible into Common Shares on a one for one basis and approval was receivedin 2001 for a block listing of the Common Shares resulting from conversion ofthe A Shares. None of the Common Shares or the A Shares is held in treasury. The number of issued Common Shares, 264,016,228, may be used by holders ofCommon Shares as the denominator for the calculations by which they willdetermine if they are required to notify the percentage of voting rightsattached to their Common Shares under the Financial Services Authority'sDisclosure and Transparency Rules.
