Confirmation of definitive agreements for subscription and warrants

Crawshaw Group plc ("Crawshaw", the "Company" and, together with its subsidiary undertakings, the "Group"), the AIM listed butcher and food-to-go retailer, confirm that further to the announcement earlier this morning, the Investors have entered into a binding conditional subscription agreement with Crawshaw on the terms set out in the previous announcement. Crawshaw has executed a warrant instrument pursuant to which the Warrants will be granted to Invest Co 1 Limited upon completion of the subscription. The Investors also have entered into Lock-in Agreements and Invest Co 1 Limited has entered into a Relationship Agreement, in each case with the Company and Peel Hunt and in line with the terms set out in the earlier announcement.
