NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGER OR RESPONSIBILITY OR CONNECTED PERSONS
The information listed below relates to transactions notified pursuant to DTR3.1.2.
CPPGroup Plc (the "Company") announces that it has received notification of the following purchase by Charles Gregson, non-executive Chairman of the Company, of ordinary shares of 10 pence each in the Company ("Ordinary Shares"):

As a result of the above, the interest of Mr Gregson in the Company's Ordinary Shares is as follows:

The transaction described above took place on 21 June 2010 in the United Kingdom pursuant to a letter agreement dated 18 March 2010 (as described in the Company's prospectus dated 19 March 2010) in which Mr Gregson agreed to apply all of the net fees he receives from his position as Chairman of the Company to making on-market purchases of shares in the Company, until he has committed, in total, at least £250,000 for such purchase of shares. The transaction was notified to the Company on 21 June 2010 in accordance with DTR3.1.2, but has not to date been announced by the Company pursuant to DTR3.1.4 due to such notification being made to an officer of the Company who has since left the Group's employment without actioning the required announcement.
