PUBLICATION OF PROSPECTUS

The combined circular and prospectus of Costain Group PLC (the 'Company') dated 27 February 2014 (the 'Prospectus') relating to the proposed firm placing and placing and open offer announced earlier today has been approved by the Financial Conduct Authority and has been published. The Prospectus will shortly be available to view on the website of the Company, www.costain.com, and copies of the Prospectus will be made available at the Company's registered office at Costain House, Vanwall Business Park, Maidenhead, Berkshire SL6 4UB.

It is expected that the Company will make a further announcement later today or tomorrow regarding submission of the Prospectus to the National Storage Mechanism.
