Cello Group plc28 March 2008 Cello Group plc (the "Company") Additional listing / TVR The Company announces that on 28 March 2008 it resolved to issue 67,725 newordinary shares of 10p each to certain employees of the group to certainemployees of the Company. These shares are to be issued pursuant to the terms ofthe deferred consideration contained within the share purchase agreement withS.M.T. Consulting Limited, a wholly owned subsidiary of the Company. Application has been made for these shares to be admitted to trading on AIM andadmission is expected to occur on 3 April 2008. The Company's issued share capital, will following admission of the 67,725deferred consideration shares, consist of 38,911,577 ordinary shares of 10 penceeach ("Ordinary Shares"), all with voting rights. The Company holds 80,000Ordinary Shares in treasury at the date of this announcement. The total numberof current voting rights in the Company will therefore be 38,831,577.
