Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transaction involving three of its directors, William Wyatt, Jamie Cayzer-Colvin and The Honourable Charles Cayzer.

On 28 June 2013, The Hon Charles Cayzer's daughter transferred 4,200 ordinary shares, representing approximately 0.01% of Caledonia's total issued ordinary share capital to a family trust, of which Mr Wyatt and Mr Cayzer-Colvin are Trustees and of which The Hon Charles Cayzer is a potential beneficiary. These Caledonia shares will be included within the beneficial interests of The Honourable Charles Cayzer and the non-beneficial interests of Mr Wyatt and Mr Cayzer-Colvin.

All of the Caledonia shares transferred by the trust remain within the Cayzer family concert party and were, and will remain, registered in the name of Caytrust Finance Company Limited.

The Honourable Charles Cayzer's total interests in Caledonia's ordinary shares following the above transaction are as follows:-

Beneficial - 45,092 shares = 0.08%

Non-beneficial - 18,985 shares = 0.03%

Options - 39,129 shares = 0.07%

Performance share scheme awards - 22,609 = 0.04%

Deferred bonus plan awards - 1,557 shares = 0.01%

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 1,034,420* shares = 1.85%

Non-beneficial - 23,293 shares = 0.04%

Options - 32,786 shares = 0.06%

Performance share scheme awards - 119,286 = 0.21%

Deferred bonus plan awards - 35,090 shares = 0.06%

* 934,125 shares of Mr Wyatt's total beneficial holding are owned by The Dunchurch Lodge Stud Company, a company controlled by Mr Wyatt and certain of his connected persons. 

Mr Cayzer-Colvin's total interests in Caledonia's ordinary shares following the above transaction are as follows:

Beneficial - 408,498 shares = 0.73%

Non-beneficial - 11,253 shares = 0.02%

Options - 32,786 shares = 0.06%

Performance share scheme awards - 71,571 = 0.13%

Deferred bonus plan awards - 20,642 shares = 0.04%
