Caledonia Investments plc
Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")
Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares"), which took place on 14 March 2022, and involved persons closely associated with one of its directors, William Wyatt.
Family trusts, of which Mr Wyatt is a trustee, received 12,000 Shares in Caledonia, representing 0.022% of the Company's total issued ordinary share capital. The Shares were gifted by a close relative of Mr Wyatt for nil consideration. These transactions were conducted off-market in London and increased Mr Wyatt's beneficial holdings in the Company.
In addition, family trusts, of which Mr Wyatt is a trustee, received 9,000 Shares in Caledonia, representing 0.016% of the Company's total issued ordinary share capital. The Shares were gifted by a close relative of Mr Wyatt for nil consideration. The transactions were conducted off-market in London and increased Mr Wyatt's non-beneficial holdings in the Company.
Mr Wyatt's total interests in Shares following the above transactions are as follows:
Beneficial - 1,163,152 Shares* = 2.13%
Non-beneficial - 91,467 Shares = 0.17%
Performance share scheme awards - 123,076 Shares = 0.23%
Deferred bonus plan awards - 13,652 Shares = 0.02%
* includes 1,009,898 Shares owned by The Dunchurch Lodge Stud Company.
