Circassia Pharmaceuticals plc ("Circassia" or "the Company") hereby provides notification that it was informed on 27 August 2015 that earlier that day Charles Swingland, 63, a Non-Executive Director of the Company transferred 20,862 ordinary shares in the Company to his wife's Self-Invested Pension Plan ("SIPP"). The ordinary shares were transferred by Mr Swingland at a price of 328.25p each to the trustees of his wife's SIPP D.A Phillips and Company Limited and Mrs C Swingland.

Following these transactions the beneficial holding of Mr Swingland and his connected persons remains unchanged at 5,721,677 ordinary shares representing 2.01% of the issued share capital and Total Voting Rights of the Company.
