CINEWORLD GROUP PLC (the "Company")

A market price option to acquire 5,213 ordinary shares in the Company ("Shares") was exercised on 20 May 2015 by a Director of the Company under the terms of the Cineworld Group Plc Company Share Option Plan (the "Plan"). The middle market quotation of a Share on the exercise date was £5.05. Details are provided below:

This exercise related to the three year plan cycle ending in January 2015 and was subject to the satisfaction of an EPS performance condition.

In accordance with the rules of the Plan, the award was settled by the issue of 5,213 Shares following payment by the Director of the exercise price. The Shares were issued directly to the award holder at the direction of the trustee of the Company's Employee Benefit Trust.

Following the above notifications, the total interest in Shares of the relevant Director is as follows:

The Company was informed of the above transactions relating to the Awards on 26 May 2015, such notification having been given by such Director in accordance with the requirements of paragraph DTR 3.1.2R of the Disclosure and Transparency Rules of the Financial Services Authority. The above notification is intended to satisfy the Company's obligations under DTR 3.1.4.R of the Disclosure and Transparency Rules of the Financial Services Authority.
