Pursuant to a bid conduct agreement entered into on 31 July 2015 between (amongst others) funds managed by Providence Equity Partners L.L.C. ("Providence"), WPP Beans Limited ("WPP"), Bell Topco Limited ("Topco") and Bell Bidder Limited ("Bidco") relating to the conduct of the Offer, funds managed by Providence, WPP, Topco and Bidco have each agreed, amongst other things, that they will not (and will procure that none of their concert parties will), other than by means of the Offer: (i) acquire, announce an intention to acquire or enter into any arrangement to acquire any interest in any relevant securities ("Relevant Securities") of Chime Communications plc ("Chime"); (ii) enter into discussions, negotiations or any agreement with any person or entity regarding the share capital or assets of Chime; or (iii) sell, transfer or charge (or agree to do so) their holding of Relevant Securities or any portion thereof.
