DIRECTORS' AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES' SHAREHOLDINGS
It is announced that the following acquisitions and sales of Common Shares occurred upon the exercise of nil cost Performance Share Plan ("PSP") options:

As a result of exercising his PSP options, Mr Jardine received an additional 38,744 Common Shares representing dividend equivalents on 21 April 2015. His total holding at that date was 437,918 Common Shares.

As a result of exercising his PSP options, Mr McMellin received an additional 33,461 Common Shares representing dividend equivalents on 21 April 2015. His total holding at that date was 411,346 Common Shares.

The above PSP awards were satisfied by the issue of new shares and the dividend equivalents by shares from the Catlin Group Limited Employee Benefit Trust.
