Director Shareholding

Celtic plc (the "Company") was notified on 29 September 2011 that Brian Duffy, a non-executive director of the Company, had acquired 50,779 Ordinary Shares of 1p each in the capital of the Company, at a price of 40p per share. The transaction took place on 29 September 2011.

Prior to the transaction Mr Duffy was interested directly in 178,915 Ordinary Shares of 1p each.

Following the transaction Mr Duffy is interested, as the beneficial owner, in 229,694 Ordinary Shares of 1p each representing 0.25% of the class.
