Director Shareholding

Celtic plc ("the Company") was notified on 15 August 2011 that Brian Duffy, a non-executive director of the Company, had acquired 50,000 Ordinary Shares of 1p each in the capital of the Company, at a price of 42 pence per share. The transaction took place on 15 August 2011.

Prior to the transaction Mr Duffy was interested directly in 107,750 Ordinary Shares of 1p each.

Following the transaction, Mr Duffy is interested, as the beneficial owner, in 157,750 Ordinary Shares of 1p each representing 0.17% of the class.
