TRANSFER OF SHARES FROM TREASURY TO EBT AND TOTAL VOTING RIGHTS

London, UK - 17 JUNE 2020 - Centaur Media plc announces that on 16 June 2020 it transferred 2,414,434 ordinary shares (1.60%) from Treasury to the Centaur Employees' Benefit Trust for the purpose of satisfying awards made under any of the share plans operated by the Company. The transfer price for the shares was £603,608.50.

In accordance with Rule 5.6.1 of the FCA's Disclosure and Transparency Rules (DTR), the total number of issued ordinary shares of 10p each in the Company ("Ordinary Shares") remains the same and is 151,410,226 as at 16 June 2020.

Following the above transfer the Company now holds 4,550,179 Ordinary Shares in Treasury.

The total number of voting rights in the Company for the purposes of the DTR is therefore 146,860,047.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTR.
