Circular posted to Shareholders

Further to the announcement on 19 May 2014 in which the board of Centaur Media Plc (LSE: CAU, "Centaur," the "Group") announced that it had conditionally agreed: (a) to sell Perfect Information Limited to Mergermarket Limited for an enterprise value of £26m (the "Proposed Disposal"); and (b) to the early settlement of the earn-out entitlement of the former shareholders of E-consultancy.com Limited for £12.5m in cash (the "Proposed Settlement"), the Board of Centaur announces that the circular relating to the Proposed Disposal and the Proposed Settlement (the "Circular") is being sent to Centaur shareholders today.

The Circular contains a notice of a general meeting (the "General Meeting") to approve the Proposed Disposal and Proposed Settlement.

The General Meeting to approve the Proposed Disposal and the Proposed Settlement will be held at 11.00a.m. on 9 June 2014 at Centaur's offices at Wells Point, 79 Wells Street, London W1T 3QN.

A copy of the Circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at: http://www.morningstar.co.uk/uk/NSM

Copies of the Circular and the resolutions to approve the Proposed Disposal and the Proposed Settlement are available for inspection at the offices of Macfarlanes at 20 Cursitor Street, London, EC4A 1LT, during normal business hours on any weekday (UK public holidays excepted) with effect from today until the conclusion of the General Meeting.
