PDMR Notification
Brewin Dolphin Holdings PLC ("Brewin Dolphin") and RBC Wealth Management (Jersey) Holdings Limited ("Bidco") announced on 31 March 2022 that they had reached agreement on the terms of a recommended cash offer pursuant to which Bidco will acquire the entire issued and to be issued ordinary share capital of Brewin Dolphin (the "Acquisition"), which is to be effected by way of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme").
As announced on 23 September 2022, the High Court of Justice of England and Wales made an order sanctioning the Scheme. As a result, the persons discharging managerial responsibilities' ("PDMR") conditional share awards granted under the Brewin Dolphin's Long Term Performance Plan ("LTPP") and nil cost options over shares granted under Brewin Dolphin's Deferred Profit Share Plan ("DPSP") vested (and in the case of the nil cost options granted under the DPSP, were exercised) on Friday 23 September 2022.
Notifications by the PDMRs in accordance with the Market Abuse Regulation are set out in the Appendix to this announcement.
