Bank Pekao SA22 November 2007 UNOFFICIAL TRANSLATION (22 November 2007) Report 111/2007: Rejection of motions to suspend the registration proceedings The Management Board of the Bank Polska Kasa Opieki S.A. ("Bank") hereby informsthat the Bank was provided on November 21, 2007 with two statements of theMunicipal Court for the city of Warsaw in Warsaw, XII Commercial Division of theNational Court Register of November 21, 2007 regarding rejection of motions oftwo shareholders of the Bank to suspend the registration proceedings pending infront of the Municipal Court for the city of Warsaw in Warsaw, XII CommercialDivision of the National Court Register in respect of the change of Bank's datain the register of entrepreneurs by making the entry of the Bank BPH S.A.'sspin-off and the increase of the share capital of the Bank related thereto. The above statements are not subject to appeal. At the same time, on November 21, 2007, the Bank was provided with copies ofboth rejected motions: 1) of October 31, 2007 to suspend, on grounds of art. 423 par. 1 of theCommercial Companies Code, the registration proceedings relating to the entry ofthe share capital increase on the Bank until final completion of the court trialpending in front of the District Court in Warsaw, XX Commercial Division (ref.no. XX GC 475/07) upon suit of the shareholder for overruling the resolution no.4 of the Bank's Extraordinary Shareholders' Meeting of April 27, 2007 in respectof integration of the Bank with Bank BPH S.A. 2) of November 2, 2007 to suspend, on grounds of art. 423 par. 1 of theCommercial Companies Code, the registration proceedings relating to the entry ofthe share capital increase on the Bank until final completion of the court trialpending in front of the District Court in Warsaw, XX Commercial Division (ref.no. XX GC 405/07) upon suit of the shareholder for overruling the resolution no.4 of the Bank's Extraordinary Shareholders' Meeting of April 27, 2007 in respectof integration of the Bank with Bank BPH S.A.
