F&C Private Equity Trust PLC24 April 2008 To: RNS From: F&C Private Equity Trust plc Date: 24 April 2008 F&C Private Equity Trust plc (the 'Company') - Voting Rights and Capital In conformity with the Disclosure and Transparency Rules provision 5.6.1, theCompany notifies the market of the following: As at the date of this announcement, as a result of the drop in the NAV per Ashare below 10 pence per share as announced in the Company's final results on 14April 2008, holders of A shares of 1p each in the Company no longer have theright to receive notice of, attend and vote at general meetings of the Company.The 72,282,273 B shares of 1p each in the Company retain their voting rights,and the total number of voting rights in the Company is therefore 72,282,273(the Voting Rights Figure), being the voting rights attached to B shares only. As at the date of this announcement, no shares are held in treasury by theCompany. The Voting Rights Figure may be used by shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirvoting rights interest, or a change to that interest, in the Company under theFSA's Disclosure and Transparency Rules.
